Terms of Service

By creating an account or using any part of the STRATA platform, you confirm that you are at least 18 years old, have the authority to enter into this agreement on behalf of your organization, and agree to these Terms and our Privacy Policy.

STRATA is a software-as-a-service platform designed for coffee roasteries. It includes tools for order management, roast logging, inventory tracking, customer relationship management, and integrations with third-party platforms including Shopify.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

Access to the platform is granted on a per-facility, role-based basis. Administrators may invite team members and assign roles. You are responsible for the actions of all users under your account.

STRATA offers an optional integration with Shopify that allows you to sync orders, products, and customer data between your Shopify store and STRATA. By connecting a Shopify store, you authorize STRATA to access and process data from that store as described in our Privacy Policy.

You may disconnect the Shopify integration at any time from your Configuration settings. Disconnecting will stop future data sync but will not automatically delete previously imported data from STRATA.

Your use of Shopify through our integration is also subject to Shopify’s Terms of Service.

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the platform
• Introduce malicious code, viruses, or other harmful software
• Resell, sublicense, or provide the service to third parties without our written consent
• Use the platform to store or transmit infringing, defamatory, or otherwise unlawful content

Your use of STRATA is subject to our Privacy Policy, which describes how we collect, use, and protect your data. By using the service, you consent to our data practices as described therein.

All content, software, and technology comprising the STRATA platform are the property of Strata Roast or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

You retain ownership of all data you input into STRATA. You grant us a limited license to process that data solely to provide and improve the service.

Certain features of STRATA may require a paid subscription. Subscription fees are billed in advance on a recurring basis. You authorize us to charge your payment method for all applicable fees.

We reserve the right to modify pricing with at least 30 days’ notice. Continued use of the service after a price change constitutes your acceptance of the new pricing.

Refunds are handled on a case-by-case basis. Please contact us at support@strataroast.com with any billing concerns.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, STRATA ROAST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Strata Roast and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

You may terminate your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or for any other reason with reasonable notice.

Upon termination, your right to use the service ceases immediately. We will retain your data for a reasonable period to allow for export, after which it may be deleted.

These Terms are governed by the laws of the State of Hawaii, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Honolulu, Hawaii.

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the platform. Your continued use of STRATA after changes take effect constitutes your acceptance.
